Financing of a consumer credit platform in Mexico
Financing of a consumer loan portfolio in Mexico, backed by the portfolio's collection rights, which were contributed to a trust. Indigo translated the financing agreement and its annexes, as well as contractual documentation for card and account processing.
The transaction
A financing agreement for a financial services platform operating in Mexico provided for senior secured debt to originate or acquire consumer loans. The structure involved a Mexican borrower, guarantors in different jurisdictions and a trust to which rights to receive payments under eligible loan portfolios were contributed. Financing availability depended on a borrowing base linked to that portfolio.
Indigo’s work
Indigo prepared certified Spanish translations of the financing agreement and its annexes, as well as contractual documentation for card and account processing with US providers. The task was to maintain consistent terminology across the documents and, in applicable sections, use IFRS and Mexican Financial Reporting Standards (NIF) terminology as appropriate.
Translation deliverables
Certified translations of contracts and minutes, together with their annexes, total more than 400 pages.
