Reorganisation of an Italian food group with holdings in Mexico
Demergers and a cross-border merger. Indigo translated minutes recording corporate resolutions, articles of association and annexes, preserving the rules governing shareholder control and exit.
The transaction
The file documented a reorganisation of the international holdings of an Italian food multinational. It included demergers and a cross-border merger. Spanish translations were needed for notification to the Mexican tax authorities.
Indigo’s work
Indigo prepared certified translations of shareholders’ meeting minutes, articles of association and annexes from Italian and English. The challenge was to preserve mechanisms governing shareholder control and exit: different classes of shares, preemptive, drag-along and tag-along rights, compulsory purchase provisions and withdrawal rights. These operated under different financial thresholds and exercise periods; the translation had to preserve the sequence, beneficiaries and conditions of each. The work also required examining Italian commercial-law concepts and their functional equivalents in Mexican law.
Translation deliverables
Translations certified by an expert translator were prepared for submission to the Mexican authorities.
